My Terms
- 1. Project Scope
This agreement specifies the deliverables, including the type, format, and number of content pieces to be created by the creator. The project scope will be clearly defined and agreed upon prior to the start of work.
2. Usage Rights
The client is granted rights to use the created content on specified platforms only (e.g., social media, website, email marketing). Any use outside of these agreed platforms requires prior written consent from the creator and may incur additional fees.
3. Fee Structure
The total fee is calculated based on the type and quantity of content provided, as agreed upon. Any additional services, outside of those specified in the project scope, will require an additional fee.
4. Payment Terms
Payments are to be made in two installments: 50% upfront to begin the project and the remaining 50% upon final approval and delivery of the content. Payments are due within the timeframe specified in the invoice.
5. Platform-Specific Usage
The initial agreement covers usage on the platforms outlined in the project scope. If the client wishes to extend usage rights to additional platforms not originally included (e.g., YouTube, LinkedIn), additional fees may apply, as outlined by the creator.
6. Content Licensing
This agreement grants a non-exclusive license to the client for the agreed-upon duration. This means the creator retains the right to use and repurpose the content for their own portfolio and marketing. Exclusivity may be negotiated with additional fees.
7. Content Ownership
The creator retains ownership of the raw files and any final edits provided to the client. The client receives a license to use the final edits but does not own the content itself, unless otherwise negotiated.
8. Usage Fee
A usage fee applies if the client desires expanded rights to use the content in additional contexts beyond the agreed scope. This includes, but is not limited to, paid advertising campaigns, digital promotions, print media, and usage across additional business divisions. The specific fee will be negotiated based on the requested additional usage and must be agreed upon before new usage begins.
9. Term Length
The content usage rights are valid for the term specified in the agreement, typically 1–2 years. The client must request an extension or renegotiate terms if they wish to continue using the content after the term expires.
10. Geographic Limitations
Content usage may be restricted geographically, as specified in the project scope. If international or global usage is required, this must be stated upfront and may incur additional fees.
11. Revisions Included
The agreement includes up to two rounds of revisions based on initial feedback. These revisions cover minor changes, such as color corrections, small edits, or text adjustments.
12. Additional Revisions Fee
If further revisions are requested beyond the included two rounds, each additional round of revision will incur a specified fee. This fee will be outlined before additional work begins.
13. Delivery Timeline
Content will be delivered by the agreed-upon deadline. The timeline includes the initial delivery and any revision rounds included in the agreement.
14. Turnaround Time for Revisions
The client must provide revision requests within 5 business days of receiving the content. Delays in providing feedback may impact the final delivery timeline.
15. Approval Process
Once the final content is delivered, the client will have 5 business days to approve it. Failure to provide approval or feedback within this timeframe will result in the content being deemed approved.
16. Rush Fees
If the client requires faster delivery than initially agreed upon, a rush fee may apply. This fee will be discussed and agreed upon before expedited work begins.
17. Reshoot Fees
If a complete reshoot is requested due to changes in the project scope or client preferences, a reshoot fee will apply, which will be negotiated separately.
18. Editing and Retouching Fees
Standard editing and retouching are included in the project fee. Any advanced or additional edits requested by the client may incur extra fees, which will be communicated in advance.
19. Content Format and Delivery
The final content will be delivered in the agreed-upon formats (e.g., MP4 for videos, JPEG for images) and via the specified delivery method (e.g., Dropbox, Google Drive).
20. Intellectual Property Release
The creator retains the right to display the final content in their portfolio, on their social media channels, or in other promotional materials, with proper credit given to the client if applicable.
21. Client Feedback
All feedback and revision requests should be provided in writing (e.g., via email or designated feedback form) to ensure clear communication and accurate revisions.
22. Usage Attribution
If required, the client will give credit to the creator wherever the content is used, unless otherwise agreed upon in writing.
23. Cancellation Policy
If the client cancels the project after work has begun, they are responsible for any fees incurred up to the point of cancellation. The upfront payment is non-refundable if the project is canceled by the client.
24. Usage Restrictions
The client agrees not to resell, redistribute, or alter the content without the creator’s consent. Unauthorized usage will be considered a breach of this agreement and may result in additional fees or legal action.
25. Refund Policy
Refunds will not be issued for completed work. In cases of cancellation before completion, any refund eligibility will be assessed at the creator’s discretion.
26. Revision Deadline
The client must request the two included revisions within 10 business days of receiving the initial draft. Requests made after this period will not be covered under the agreement and may incur additional fees.
27. Confidentiality Clause
Both parties agree to keep confidential any proprietary or sensitive information shared during the project, including, but not limited to, client briefs, internal communication, and business practices.
28. Dispute Resolution
In case of a dispute, both parties agree to resolve the matter amicably through mediation or, if necessary, arbitration, before pursuing legal action.
29. Late Payment Penalties
Payments not made by the specified due date may incur a late fee of 5% per week, starting from the first week after the payment deadline.
30. Final Delivery Approval
After the included two revisions and final approval from the client, the project will be considered complete. Any additional requests made after this point will be billed at an hourly or per-revision rate.
